Minerva is an AI-powered Software-as-a-Service (SaaS) platform that provides accounting automation, financial reporting, and related services designed for accounting firms and their clients. The Services include automated journal entries, reconciliation, cashflow forecasting, and AI-assisted financial analysis.

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Subscription and Payments

Access to the Services requires a paid subscription. Subscription fees are billed monthly in advance and are non-refundable except as required by law. You authorize us to charge your designated payment method for all applicable fees. We reserve the right to change our pricing with 30 days' notice.

5. Free Trial

We may offer a free trial period for new users. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends. You may cancel at any time during the trial at no charge.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services.
• Transmit any viruses, malware, or other harmful code through the Services.

• Interfere with or disrupt the integrity or performance of the Services.

7. Intellectual Property

The Services and all related content, features, and functionality are owned by Minerva Intelligence, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Services without our prior written consent.

8. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy. You retain ownership of all financial data you submit to the platform.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, secure, or error-free. We are not a licensed accounting firm and the Services do not constitute professional accounting, tax, or legal advice.

10. Limitation of Liability

To the fullest extent permitted by law, Minerva Intelligence, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees you paid during the twelve (12) months preceding the event giving rise to the claim.

11. Termination

You may cancel your subscription at any time. We may suspend or terminate your access to the Services at our discretion if you breach these Terms. Upon termination, your right to use the Services will immediately cease. We will make your data available for export for a reasonable period following termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in San Francisco, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
